Terms of Service
Effective December 2, 2024
Introduction
These Terms and Conditions (the "Terms") govern your access to and use of the Alleysa platform, which is operated by Alley SA Inc. ("Alleysa," "we," "us," or "our") and the user ("you", "your", "Guest", "Host", "Guide") who accesses or uses the Alleysa platform (the "Platform") or any services offered through the Platform, including but not limited to vacation rentals, peer-to-peer car rentals, local guidance services, and any other services offered through the Platform (collectively referred to as "Host Services").
By using or accessing the Platform, you agree to be bound by these Terms and Conditions, as well as by any additional terms, policies, or guidelines that may apply to specific services, features, or transactions on the Platform. This includes but is not limited to the Alleysa Privacy Policy, Payment Terms, and any other agreements that govern the use of specific services on the Platform. These Terms govern your use of the Platform and its services and form a legal agreement between you and Alleysa. If you do not agree with these Terms, you should refrain from using the Platform or any of its services.
Alleysa reserves the right to modify or update these Terms at any time, with the updated Terms taking effect upon posting on the Platform. It is your responsibility to review the Terms regularly to stay informed of any changes.
This Agreement establishes the terms under which you can access and use the Alleysa Platform and services, whether as a Host, Guest, Car Host, Car Guest, Local Guide, or any other participant in the Alleysa community. The Platform provides tools for Hosts to offer and manage their properties, cars, and guide services, while Guests and users can search, book, and utilize those services.
By continuing to use the Platform after any modifications to these Terms, you indicate your acceptance of those modifications. If you do not agree with the revised Terms, you must stop using the Platform immediately.
Modification
Right to Modify
Alleysa (Alley SA Inc.) reserves the right to modify, amend, or update these Terms at any time, in its sole discretion, with or without notice. Any such modifications will be effective immediately upon posting to the Alleysa platform or upon notification to you through email, in-platform messages, or other contact methods you have provided to us.
Notice of Modification
If we make material changes to these Terms, we will provide notice to you, as required by applicable law, and may provide a summary of the changes. You may review any updates by checking the "Last Updated" date at the top of this document.
Continued Use as Acceptance
Your continued use of the Alleysa platform following the publication of the modified Terms signifies your acceptance of and agreement to those changes. If you do not agree with the modified Terms, you have the right to terminate your account in accordance with Section 18 (Termination, Suspension, and other Measures).
Specific Modifications for Hosts and Guests
Certain terms may apply specifically to Hosts or Guests, including updated provisions related to fees, service conditions, or specific product features. When these terms are updated, they will apply directly to the relevant users (Hosts or Guests) and will supersede the previous version.
Account Creation and Verification
Account Creation
To access and use the services provided by Alleysa (Alley SA Inc.), you must create an account. You may only create one account per person or entity unless explicitly authorized by Alleysa. During the account creation process, you will be required to provide accurate and complete information, including but not limited to:
Your full legal name
Your date of birth
A valid email address
A phone number for communication purposes
A secure password
By creating an account, you confirm that you are at least 18 years old, or you have the legal capacity to enter into binding agreements in your jurisdiction.
Verification Process
To ensure the safety and security of the platform, Alleysa may require users to undergo a verification process before using certain services. This may include:
Email and Phone Verification: You must verify both your email address and phone number to activate your account and access the platform.
Identity Verification: Depending on the services you wish to use, we may ask for additional identification documents to verify your identity. This is particularly important for Hosts who list properties or cars for rent and for those providing local guidance services.
Document Submission: Hosts may be required to submit certain documents such as property ownership proof, vehicle registration, insurance, or any other documents that Alleysa determines are necessary for listing services on the platform.
Accuracy of Information
You agree to provide accurate, current, and complete information when creating your account and during the verification process. You are responsible for maintaining the accuracy of the information provided. If any information changes, you must update your account details promptly to ensure that your account remains active and fully functional.
Account Security
You are solely responsible for maintaining the confidentiality and security of your account login information, including your username, email address, and password. You agree to notify Alleysa immediately if you suspect any unauthorized access or use of your account.
Account Suspension or Termination
Alleysa reserves the right to suspend or terminate any account that violates these Terms or is suspected of fraudulent or inappropriate behavior. If your account is suspended or terminated, you may lose access to all services offered by Alleysa.
Profile Picture and Verification
Guests must upload a profile photo if the service they wish to use requires it, to ensure an active account and build trust within the Alleysa community. Hosts and Guides, however, are required to upload a profile photo to maintain an active account. Additionally, Hosts and Guides may need to undergo a video verification process depending on the services they provide.
Responsibilities of Users
As a user of the Alleysa platform, whether as a host, guest, or guide, you are responsible for your actions and any interactions with other users. By using the platform, you agree to uphold the following responsibilities:
Respect and Integrity
All users must act with integrity and treat others with respect at all times. This includes behaving professionally and courteously, especially during interactions with guests, hosts, and guides. Discrimination, harassment, or offensive behavior will not be tolerated.Accuracy and Completeness of Listings:
Hosts are responsible for ensuring that all details in their property or vehicle listings are accurate, complete, and up-to-date. This includes information about availability, pricing, rules, policies, and any other relevant details for potential guests. Misleading or false information can lead to penalties or suspension from the platform.Booking and Payment Responsibilities:
Guests are responsible for the full payment of their booking, including the listing price, service fees, taxes, and any other applicable charges. When you confirm a booking, you are committing to these payments. You are also responsible for understanding the cancellation policies and any other terms outlined by the host.Behavior During Bookings:
As a guest, you must respect the property, vehicle, or service that you book, following any rules and guidelines set by the host. This includes not exceeding the maximum guest count, refraining from illegal or disruptive activities, and returning the property or vehicle in good condition.
As a host, you are responsible for maintaining the condition of your property, vehicle, or service as advertised. You must ensure the safety and cleanliness of your accommodation or vehicle and provide a quality service that meets the expectations set in your listing.Compliance with Local Laws:
All users must comply with local laws and regulations when using the platform. This includes but is not limited to rental laws, business licensing requirements, insurance obligations, and tax regulations. Hosts should ensure that their property or vehicle complies with all relevant safety standards and regulatory requirements.Personal Data and Privacy:
Users must respect the privacy and confidentiality of other users. You agree not to share or use another user's personal information without their consent, except when required for the purpose of completing a transaction on the platform. You must also comply with Alleysa’s Privacy Policy when handling personal data.Supervision of Minors:
If you are booking on behalf of a minor or bringing a minor to an Experience, accommodation, or vehicle, you are responsible for their supervision. You must ensure that the minor adheres to all rules and guidelines and is kept safe throughout their stay or experience.Insurance and Liability:
Hosts are encouraged to have appropriate insurance coverage for their services, including liability insurance for properties and vehicles. You are responsible for your own actions and any damages that occur during a stay or booking. You must immediately report any damage or issues to the platform or relevant authorities.Emergency and Safety:
All users must prioritize safety and emergency protocols. Guests and hosts are responsible for knowing the emergency procedures in place for their bookings, such as evacuation routes or vehicle safety guidelines. Hosts should also provide necessary safety information, such as fire alarms or first-aid kits, where applicable.Respect for Platform Policies:
Users must follow all policies, terms, and guidelines set by Alleysa. This includes not engaging in any prohibited activities, like circumventing the booking process or providing false information. Failure to comply with these responsibilities may result in penalties or account suspension.
Payments and Fees
Alleysa operates a secure and transparent payment system for transactions between guests, hosts, and guides. By using the platform, you agree to comply with the following terms regarding payments and fees:
Payment Methods:
Alleysa accepts various payment methods, including credit cards, debit cards, and other online payment systems that may be available from time to time. You agree to provide accurate and complete payment information when making or receiving payments. Alleysa uses a third-party payment processor to securely handle payment transactions.Service Fees:
Alleysa charges service fees for both hosts and guests. These fees are used to cover the costs of running the platform, including transaction processing, customer support, and platform maintenance. Service fees are disclosed prior to booking confirmation and are added to the total price of the booking.Guest Service Fees: Guests are charged a service fee based on the total cost of the booking, including the listing price and any applicable taxes or additional charges. This fee typically ranges between 10-15% of the total booking amount.
Host Service Fees: Hosts are charged a service fee for each booking. This fee is typically a percentage of the total booking amount, which covers Alleysa’s administrative costs, including customer support and payment processing. The host fee is generally between 3% and 5%, but may vary depending on the type of service (e.g., car rental, property rental, or local guidance).
Cancellation Fees:
If a guest or host cancels a booking, cancellation fees may apply based on the host’s cancellation policy. These fees are deducted from any refund provided to the guest or host. Alleysa will also charge a cancellation fee to users who violate specific policies related to cancellations. Guests and hosts should carefully review cancellation policies before booking or confirming a reservation.Additional Fees:
In addition to the service and cancellation fees, additional fees may apply in certain circumstances. These fees could include cleaning fees, resort fees, security deposits, or other charges imposed by the host, which will be clearly outlined during the booking process. Guests and hosts are responsible for understanding and accepting any additional fees before confirming the booking.Payment Transfers:
Alleysa facilitates the transfer of payments between guests and hosts using the platform. Once a guest confirms a booking, the total booking amount is charged to their selected payment method. Alleysa will release the payment to the host after the booking has been completed, subject to the platform’s payment schedule. Hosts can view and manage their payouts through their account.Taxes:
Taxes, including value-added tax (VAT), occupancy tax, sales tax, or other applicable taxes, are added to the total booking amount based on the location of the listing or service. Alleysa is responsible for collecting and remitting taxes on behalf of hosts in some jurisdictions, as required by local laws. Hosts and guests are responsible for understanding and complying with any tax obligations in their jurisdiction.Refunds:
Refunds are issued to guests in accordance with the host’s cancellation policy or in the event of a reservation issue covered by Alleysa’s policies. If a refund is approved, it will be processed via the same payment method used for the original booking. If you are a host, you agree to refund any amount due under the terms of the cancellation policy or Alleysa’s Rebooking and Refund Policy.Payment Disputes and Chargebacks:
If a payment dispute arises between a guest and a host, Alleysa will assist in resolving the issue by reviewing the circumstances surrounding the transaction. This may include reviewing evidence, such as photos, communication history, and other relevant information. In cases where a chargeback is issued by the guest’s bank or credit card provider, Alleysa may withhold payouts or take other actions to address the chargeback.Payout Schedule:
Hosts will receive their payouts on a regular schedule, which may vary depending on the region and the payment method used. Payouts are typically made after the guest has completed their stay or service. In cases of disputes or chargebacks, payouts may be delayed or withheld pending resolution.Changes to Payment Policies:
Alleysa reserves the right to change or update its payment and fee policies at any time. Any changes to fees or payment schedules will be communicated to users in advance, and you will have the opportunity to accept the new terms or terminate your agreement with Alleysa.
Cancellations, Reservation Issues, Refunds, and Booking Modifications
Cancellations
Cancellations can be made by both guests and hosts, but the associated terms depend on the specific cancellation policy set by the host for each listing or service. It is important to review and understand the cancellation policy before making a booking or confirming a reservation.Guest Cancellations:
Guests who cancel a booking will be subject to the host’s cancellation policy, which could range from full refunds to partial refunds or no refund depending on the timing of the cancellation. Guests should be aware that cancellation fees may apply in certain cases, and the refund amount will be determined based on the host’s specific policy.Host Cancellations:
Hosts should only cancel a booking for valid reasons, such as an emergency or unforeseen event. If a host cancels a booking without a valid reason, they may be subject to penalties, including a cancellation fee, loss of reputation, or suspension of their account. In some cases, a guest may be eligible for compensation or rebooking assistance.Host No-Show:
If a host fails to show up for the guest’s scheduled check-in, the guest is entitled to a full refund, and the host may receive a "no-show" review, which could lead to further action or account suspension.Guest No-Show:
If a guest does not show up for the booking, the reservation will not be refunded, and the host is entitled to keep the payment in accordance with the host’s cancellation policy.
Reservation Issues
If there are issues with a reservation, such as the accommodation not being available, the car not being in the agreed condition, or the guide not showing up for a scheduled session, the guest should immediately contact Alleysa customer support. Depending on the nature of the issue, guests may be entitled to a rebooking, a full or partial refund, or other remedies as appropriate.Rebooking Assistance:
In the case of certain reservation issues, such as overbookings, availability problems, or service disruptions, Alleysa may provide assistance with rebooking alternative accommodations, vehicles, or guide services. This rebooking will be subject to availability and the terms set by the host or guide.Service Disruptions:
If there is a disruption to the service (e.g., the property is uninhabitable or the vehicle is damaged), the guest should contact the host first to attempt to resolve the issue. If the issue cannot be resolved with the host, the guest can escalate the matter to Alleysa for assistance.
Refunds
Refunds are generally provided when the guest is eligible under the cancellation policy or due to a reservation issue. The amount refunded will depend on the applicable policy at the time of cancellation or issue resolution.Refund Eligibility:
Refund eligibility is determined based on the host’s cancellation policy or the terms of the Rebooking and Refund Policy. In cases of disputes or reservation issues, Alleysa will review the case and provide a decision on the refund amount.Partial Refunds:
In some cases, guests may receive a partial refund, such as when they cancel within a window that allows for a partial refund or when a reservation issue is resolved with compensation instead of a full refund.Refund Processing:
Once a refund is approved, the funds will be processed back to the original payment method used for the booking. This may take several business days depending on the payment processor and the guest's financial institution.
Booking Modifications
Guests and hosts may request changes to their bookings, such as altering the dates, changing the number of guests, or adjusting the services provided. Booking modifications must be made through the Alleysa platform to ensure proper documentation and fee adjustments.Guest Modifications:
Guests wishing to modify their booking must reach out to the host to confirm the new terms. If the modification request is accepted, the booking will be updated, and any additional charges (e.g., changes in the number of guests or duration) will be processed.Host Modifications:
Hosts may also initiate booking modifications, such as adjusting pricing or changing available dates. Modifications made by the host will be subject to Alleysa’s approval and the terms agreed upon by the guest.Modification Fees:
In some cases, changes to a booking may incur additional fees, such as if the guest requests a modification that alters the cost of the service (e.g., upgrading the property or extending the rental period). These fees will be displayed to the guest at the time of modification and will be processed along with the new payment.Host and Guest Responsibility:
Both hosts and guests are responsible for ensuring that all modifications comply with Alleysa’s policies and any applicable laws. Any modifications that violate these Terms or the platform’s rules may result in penalties, including the cancellation of the booking or suspension of the account.
Insurance and Liability
Insurance Coverage
Alleysa provides certain insurance coverage for hosts and guests using the platform. However, it is important to understand the limitations of the insurance provided and the responsibility of each party.Host Insurance:
Hosts are encouraged to maintain their own insurance policies to protect against damages or losses to their property, vehicles, or equipment. Alleysa’s insurance is supplementary and designed to provide additional coverage in case of accidents, damages, or other incidents, but it may not cover all potential risks. Hosts are responsible for ensuring that their property or services are adequately insured and that they comply with all applicable insurance requirements under local law.Car Insurance:
In the case of peer-to-peer car rentals, Alleysa offers car insurance coverage through ICBC (in British Columbia) for car rentals made through the platform. This insurance provides:Third-party liability coverage up to $2 million.
Protection against collision and vandalism up to the value of the vehicle, with a maximum limit of $150,000.
Additional coverage options may be available for guests, and these should be carefully reviewed before booking a vehicle.
Guide Service Insurance:
For guides offering in-person services, Alleysa recommends that they maintain their own liability insurance coverage to protect against accidents, injuries, or damages that may occur during the course of their services. Alleysa’s insurance coverage for guides is limited and does not cover all risks.
Liability of Hosts
Hosts are responsible for ensuring that their accommodations, vehicles, or services are safe, legal, and properly maintained. If a guest sustains damage or injury while using a host’s services, the host may be liable for those damages, especially if they arise from negligence or failure to meet safety or legal requirements.Host Responsibility:
Hosts are required to provide accurate descriptions of their services, adhere to safety standards, and comply with local laws and regulations regarding the rental of property, vehicles, or provision of services. In the case of a dispute, hosts may be required to provide documentation, such as safety inspection reports, proof of maintenance, or other relevant materials to demonstrate their compliance with safety requirements.Host Indemnification:
Hosts agree to indemnify and hold Alleysa harmless from any claims, damages, or losses resulting from their actions or omissions. If a guest files a claim against Alleysa due to an issue related to the host’s services (e.g., damage, injury, or accident), the host may be required to cover the costs of that claim.
Liability of Guests
Guests are responsible for their actions while using a host’s accommodation, vehicle, or services. If a guest causes damage or injury, they may be held liable and required to pay for the damages.Guest Responsibility:
Guests must adhere to the terms of the booking, treat the host’s property with respect, and act in accordance with all applicable laws and regulations. If a guest causes damage, the host can file a claim through Alleysa’s system, and the guest may be required to pay for repairs, replacements, or compensation.Damage Claims:
If damage occurs during a guest’s stay or rental, hosts may file a damage claim through the Alleysa platform. If the claim is approved, Alleysa will collect the necessary payment from the guest to cover the damages. If the guest fails to pay, Alleysa may pursue recovery through legal means.
Limitation of Liability
Alleysa is not liable for any damages, losses, or injuries sustained by hosts or guests as a result of using the platform. This includes any direct, indirect, incidental, or consequential damages that may arise from the use of the platform, the booking of services, or the use of accommodations, vehicles, or guides.No Warranty:
Alleysa makes no warranties regarding the availability, quality, or safety of the listings or services provided by hosts. The platform acts as a facilitator for transactions but does not guarantee that the services provided will meet the expectations of guests or comply with any legal standards.Guest Liability:
Guests are liable for any damages caused to the property or vehicle during their stay or rental. If damage is reported, guests may be charged for the repair or replacement costs, and any failure to pay may result in additional legal action or suspension of the account.
Exclusion of Liability for External Parties
Alleysa is not responsible for the actions or omissions of third parties (e.g., contractors, service providers, or other external parties) that may be involved in the provision of a host's services. If a guest experiences a problem due to the actions of a third party, Alleysa is not liable for those issues.Indemnification by Alleysa
Alleysa agrees to indemnify and hold harmless hosts, guests, and other users from any third-party claims arising from the platform’s operation or its failure to meet its own legal obligations, provided that the claim is not a result of the user’s own actions or omissions.
Dispute Resolution
General Dispute Resolution Process
In the event of a dispute between any users (hosts, guests, or Alleysa), the following process should be followed:Initial Communication:
Before escalating any dispute, both parties are encouraged to communicate directly with each other via the messaging system on the Alleysa platform to attempt an informal resolution. Both parties are expected to act in good faith and attempt to resolve the issue amicably.Escalation:
If the dispute cannot be resolved through direct communication, either party may escalate the matter to Alleysa’s Customer Support. Alleysa will attempt to mediate the dispute by reviewing the details, contacting both parties, and offering solutions based on platform policies.Resolution via Claims Center:
If mediation is unsuccessful, the dispute may be brought to Alleysa’s Claims and Refunds Center, where the company will review the case. If the issue pertains to damage claims, the Claims Center will assess the situation and determine if a resolution can be found through the platform’s damage protection policies.
Arbitration
If a resolution cannot be reached through the Claims Center, Alleysa may require arbitration as the final form of dispute resolution for any disputes that arise between you and Alleysa or between users (hosts and guests). Arbitration is a private, legally binding process where an independent third party makes a decision on the dispute.Arbitration Agreement:
Both parties agree to resolve disputes through binding arbitration, which will be conducted in accordance with the rules set by Alleysa or a designated arbitrator. The arbitration will take place in a location agreed upon by both parties or, if no agreement can be reached, the location will be decided by the arbitrator.Costs of Arbitration:
The costs associated with arbitration will be shared between the parties unless the arbitrator decides that one party is responsible for covering all or part of the costs. In certain cases, the arbitration fees may be waived for parties who are financially unable to pay, subject to proof of financial hardship.
Exceptions to Arbitration
Claims for Injunctive Relief:
Notwithstanding the arbitration requirement, either party may seek emergency injunctive relief in court if a dispute involves issues like fraud, theft, or harm to person or property that requires immediate resolution.Claims in Small Claims Court:
If the amount in dispute falls within the jurisdictional limits of small claims court, either party may opt to bring the case before a small claims court rather than arbitration. This will be determined based on the laws of the applicable jurisdiction.
Jurisdiction and Venue
Disputes that cannot be resolved through informal communication or arbitration and that are eligible for litigation will be resolved in the courts of the jurisdiction where the defendant resides or where Alleysa is located, unless otherwise agreed by the parties.Applicable Law:
The laws governing any disputes will be the laws of the jurisdiction specified in Alleysa’s Terms and Conditions. If you are a resident of British Columbia, the laws of British Columbia apply. For other residents, the applicable jurisdiction will be specified in the governing laws section.
Limitation of Liability in Disputes
In any dispute, the liability of Alleysa or the users involved will be limited to the maximum extent permitted by law, and the company does not take responsibility for consequential or incidental damages arising from the dispute.No Class Actions
Both parties agree that any dispute resolution will take place on an individual basis. Class action lawsuits or representative proceedings are not allowed under Alleysa’s dispute resolution process. This includes disputes that may involve multiple guests or hosts acting collectively. Any claims brought forward will be addressed individually unless otherwise specified.
Prohibited Activities
General Prohibitions
All users (hosts, guests, guides, and Alleysa staff) are prohibited from engaging in the following activities when using the Alleysa Platform:Misrepresentation:
You may not lie, mislead, or deceive other users, including providing false or misleading information in your profile, listing, or in any form of communication with other users on the platform.Impersonation:
Do not impersonate any other person, organization, or entity, including other users or Alleysa staff, nor claim to represent Alleysa or any associated third parties without proper authorization.Illegal Activities:
You are prohibited from using the platform to engage in any illegal activities or transactions, including but not limited to fraud, money laundering, human trafficking, or any criminal behavior under the applicable laws of your jurisdiction.Harmful or Offensive Content:
You may not post, share, or promote any content that is discriminatory, obscene, harassing, abusive, defamatory, or otherwise harmful to others. This includes content that violates Alleysa's Content Policy and Nondiscrimination Policy.Violation of Privacy:
You may not access or attempt to access the personal information of another user without their consent, nor use the platform to harass, stalk, or otherwise violate the privacy of other individuals.
Platform Abuse and Manipulation
Circumventing Platform Fees:
Users may not attempt to bypass Alleysa’s fees or payment systems by engaging in off-platform transactions or encouraging others to do so.Misuse of Search Results or Reviews:
You are prohibited from attempting to manipulate search results or reviews, including creating fake listings or submitting false reviews (either positive or negative) in exchange for compensation or incentives.Automated Access and Scraping:
You may not use bots, crawlers, or other automated means to collect data from or otherwise interact with the Alleysa Platform without express permission. This includes scraping user content, listings, or other data for commercial purposes.
Prohibited Behavior in Communication
Unsolicited Commercial Messages:
Users are prohibited from sending unsolicited marketing messages or advertisements to other users. You may not use Alleysa’s messaging system for purposes other than directly related to a reservation, booking, or service.Harassment or Abusive Behavior:
Do not engage in any form of harassment, intimidation, or abusive behavior towards any other users, including through messages, listings, or during in-person interactions.Discrimination and Hate Speech:
Alleysa does not tolerate discriminatory behavior based on race, ethnicity, nationality, gender, gender identity, sexual orientation, religion, age, or any other characteristic. Any form of hate speech is strictly prohibited.
Unauthorized Use of Alleysa’s Intellectual Property
Trademark Infringement:
You may not use the Alleysa name, logo, trademarks, or any other proprietary marks of Alleysa without permission. You also cannot use these marks in any way that may confuse others or suggest an endorsement by Alleysa without proper authorization.Content Theft:
You may not copy, redistribute, or use any content from the Alleysa Platform without the proper consent of the content owner or in violation of intellectual property rights.
Disruption of Platform Integrity
Impairing Functionality:
You must not engage in any action that could impair the functionality of the Alleysa Platform, including attempting to reverse engineer, hack, or overload our system to gain unauthorized access or disrupt the platform.Platform Fraud:
You are prohibited from engaging in any fraudulent activity, including creating fake profiles, listing fake properties, or making bookings with the intention of not honoring them.
Special Prohibitions for Specific Services
Car Rental and Property Services:
When offering cars or properties for rent, you must comply with all applicable laws, rules, and regulations, including ensuring the safety and legality of your vehicle or property. Offering vehicles or properties that do not meet these requirements, or which are unsafe, damaged, or otherwise inappropriate, is prohibited.Local Guides:
Local guides are prohibited from offering services that are not in line with the type of experience they have described in their listing or service. Guides must also comply with any local licensing or certification requirements for their activities.
Consequences for Violating Prohibited Activities
Any violations of the above-listed prohibited activities may result in penalties including but not limited to:Account suspension or termination
Removal of listings or services
Legal action, including referral to authorities if applicable
Financial penalties or restitution to affected parties

Host Fees and Payments

You may also be subject to additional charges or fees, such as cleaning fees or extra guest fees, which should be clearly outlined in your listing.
Payments for property bookings will be processed through Alleysa’s secure payment system. You will receive the payout for each confirmed booking minus any applicable fees, which will be transferred according to your selected payment method.
Cancellations by Host
You may cancel a reservation with valid reasons as specified in the Cancellations and Refunds section. However, if you cancel a reservation without a valid reason or outside of the cancellation policy, you may be subject to penalties, including but not limited to cancellation fees, loss of future bookings, or suspension of your account.
If a guest is impacted by a cancellation, Alleysa may assist in finding alternative accommodation options or provide a refund based on the circumstances, as outlined in our Rebooking and Refund Policy.
Damage to Property
You are responsible for any damages to your property during the guest’s stay, unless they are caused by natural disasters or other circumstances beyond your control. Guests are encouraged to report any damage or issues immediately.
If damage occurs, you may file a Damage Claim through the Claims and Refunds Center. You agree to cooperate with any investigations or actions taken by Alleysa to resolve the issue.
Compliance with Local Laws
You must comply with all local, regional, and national laws regarding short-term rentals. This includes obtaining any necessary licenses, permits, or approvals required by your municipality, state, or country to legally rent out your property.
Failure to comply with these laws could result in penalties, fines, or the removal of your listing from the platform. Alleysa may assist in providing general information, but the responsibility for legal compliance remains entirely with you.
Insurance and Liability
You are encouraged to maintain comprehensive insurance coverage for your property to protect against damage, theft, or injury during guest stays. Alleysa’s insurance offerings, such as liability coverage for third-party claims, may not cover all potential risks, and you are responsible for evaluating and selecting appropriate coverage for your property.
You are also required to comply with Alleysa’s Insurance and Liability policies, as applicable to your property listing.
Guest Reviews and Feedback
After each guest stay, you will have the opportunity to leave feedback about the guest, and the guest will be able to leave feedback about you. Both reviews are vital to ensuring that hosts and guests maintain a high level of trust within the Alleysa community.
You agree that any reviews or feedback you provide will be truthful and based on your actual experience with the guest.
Disputes and Conflict Resolution
Any disputes between you and your guest should be addressed in a timely and respectful manner. You are encouraged to use the Dispute Resolution process available through Alleysa’s platform to mediate issues that may arise.
If you cannot resolve a dispute with a guest, you may request assistance from Alleysa, who will review the case and mediate a resolution based on the Rebooking and Refund Policy.
Termination of Host Services
You may choose to terminate your property listing at any time. However, once a reservation has been confirmed, you are required to honor the booking unless there is a valid reason for cancellation.
If you are found to be in violation of any terms or rules, Alleysa reserves the right to suspend or terminate your account or listing, and you may lose any associated earnings.
Specific Terms for Local Guidance Guests
As a Local Guidance Guest on the Alleysa platform, you are booking services with a local guide who will provide you with personalized experiences and insights about the area. The following terms apply specifically to Local Guidance Guests:
Guest Responsibilities
You are responsible for ensuring that you are able to meet the guide’s requirements for the service, including but not limited to any age, health, or proficiency criteria.
You agree to treat the guide and other participants with respect and to follow the guidelines and instructions provided by the guide.
You are responsible for being punctual for your scheduled appointment and arriving on time for the guidance session. If you are unable to attend, you must notify the guide and/or Alleysa in accordance with the cancellation policy.
Booking and Confirmation
By booking a Local Guidance service, you are agreeing to the terms outlined in the listing, including the time, location, price, and any additional conditions provided by the guide.
Once the booking is confirmed, it constitutes a contract between you and the guide for the agreed-upon services, and the terms of the booking, including these terms, apply to your reservation.
Fees and Payments
You agree to pay the total price for the Local Guidance service, which includes the guide’s fee, any applicable taxes, and Alleysa’s service fee, unless otherwise specified.
Payments will be processed securely through the Alleysa platform. You will receive confirmation once the payment has been successfully processed.
If you need to make modifications or add extra services to your booking, additional charges may apply. These charges will be disclosed before you finalize any changes.
Cancellations and Modifications
If you need to cancel your Local Guidance service, you must do so according to the guide’s cancellation policy, which will be outlined at the time of booking. Cancellations may result in a partial or full refund, depending on the policy in place at the time of your booking.
In case of an emergency or unforeseen event, you may be entitled to reschedule or receive a refund in accordance with Alleysa’s Major Disruptive Events Policy or other applicable refund policies.
Modifications to your booking must be made before the scheduled date of service, and additional charges may apply depending on the nature of the change.
Conduct During the Session
You must act respectfully and responsibly during the guidance session. Disruptive, unsafe, or inappropriate behavior will not be tolerated, and the guide has the right to end the session early at their discretion if you do not adhere to the terms and guidelines of the service.
You agree to refrain from engaging in any behavior that may harm, disturb, or threaten the safety of the guide or others during the experience.
Health and Safety

You agree to provide honest, constructive feedback based on your actual experience. You are prohibited from submitting fraudulent, discriminatory, or defamatory reviews.
Limitation of Liability
While the guide will take reasonable steps to ensure a safe and enjoyable experience, you acknowledge that there may be inherent risks associated with some activities.
Alleysa’s liability is limited to the extent permitted by law, and the guide is not responsible for any damages, losses, or injuries that may occur during the session, unless caused by their negligence or willful misconduct.
Disputes
Any disputes between you and the guide should be handled directly with the guide. However, if a resolution cannot be reached, you may use Alleysa’s Dispute Resolution process to assist in finding a solution.

You must act with integrity, professionalism, and respect when interacting with Guests. You are expected to adhere to the standards and practices established by Alleysa, which include maintaining a high level of service quality, safety, and customer satisfaction.
You are required to provide accurate and up-to-date information about your services, including any special requirements or conditions that apply to your offerings. If you offer physical activities or tours, ensure you clearly communicate any necessary preparations or precautions for your Guests.
Booking and Confirmation
By accepting a booking request or receiving a booking confirmation, you are entering into a contract with the Guest. You agree to deliver your services as outlined in the confirmed booking. If any changes are required after the booking is confirmed, you must notify the Guest and/or Alleysa promptly and seek their agreement before proceeding.
Once a booking is confirmed, you agree to the terms outlined in the Guest’s booking, including the cancellation policy, the duration of the session, and the total price.
Fees and Payments
As a Guide, you will be compensated for your services based on the price set in your listing. Alleysa will deduct its service fee (as applicable) before transferring the remaining amount to you.
Payments for Guide services are processed securely via the Alleysa platform. You will receive confirmation when your payment is successfully processed, and payments are typically made within the time frame established by Alleysa’s payout schedule.
Any additional charges, such as fees for extra services, tips, or taxes, should be disclosed to the Guest before the service is provided. You may also be responsible for providing receipts or invoices for these charges as required by applicable law.
Cancellations and Modifications
You agree to comply with the cancellation policy you set for your services, which will apply to any cancellations made by the Guest. In cases where you need to cancel or modify a booking, you must inform the Guest as soon as possible and offer alternative arrangements when possible.
If you need to cancel a booking for any reason, and if the cancellation is not due to a Major Disruptive Event or other acceptable circumstances, you may be subject to a cancellation fee as outlined in Alleysa’s Cancellation and Refund Policy.
You must also accommodate reasonable requests for modifications to a booking, such as time changes or additional services, within the limits of your availability and the booking terms.
Conduct and Behavior
You are expected to treat Guests with respect and professionalism at all times. Discrimination, harassment, or any inappropriate behavior will not be tolerated and may result in suspension or removal from the platform.
You must ensure that your interactions with Guests, whether in person or online, adhere to Alleysa’s Nondiscrimination Policy and Content Policy.
You must follow all local laws, regulations, and safety guidelines while providing your services. If your services involve physical activities, transportation, or anything that could impact the health or safety of the Guests, you must ensure that all safety measures are in place and clearly communicated to the Guest in advance.
Health and Safety
You must take reasonable steps to ensure the health and safety of the Guests during the service. If your service involves physical activities, transportation, or any high-risk activities, you are responsible for ensuring that the Guests are informed of the risks and are properly prepared.
You should ensure that your equipment or transportation is safe, functional, and appropriate for the service you provide. You may be required to carry out regular maintenance or safety checks on any equipment or vehicles used during the service.
Insurance
You are encouraged to have your own personal liability insurance and any other relevant coverage for the services you offer. Alleysa does not provide insurance for guides, and you are responsible for ensuring that you have appropriate insurance for any risks associated with your services.
For transportation-related services, you may be required to provide proof of a valid driver’s license, insurance, and vehicle safety inspections if applicable.
Reviews and Feedback
After each session, Guests will have the opportunity to leave a review of your services. You agree to accept feedback, both positive and negative, in a constructive manner.
You may respond to reviews, but you must do so in a professional and respectful manner. Reviews are an important part of building your reputation on the platform, so providing high-quality service is key to receiving positive reviews.
You agree not to solicit, manipulate, or influence reviews in any way that violates Alleysa’s Review Policy.
Disputes and Resolution
In the event of a dispute between you and a Guest, you are encouraged to resolve the issue directly with the Guest. If you are unable to reach a resolution, Alleysa’s Dispute Resolution process will assist in mediating the issue.
If a dispute arises regarding the fulfillment of the service, Alleysa may review the booking details and communication between you and the Guest to assess the situation and determine an appropriate course of action.
Termination or Suspension of Account
You acknowledge that Alleysa may suspend or terminate your account if you fail to comply with these Terms or if you engage in behavior that violates Alleysa’s policies, including the Nondiscrimination Policy, Content Policy, or Cancellation and Refund Policy.
If your account is terminated or suspended, any future bookings will be canceled, and you will not be able to offer additional services through the Alleysa platform until the issue is resolved.
Limitation of Liability
You agree to limit Alleysa’s liability to the maximum extent permitted by applicable law in relation to any claims arising from your use of the platform or the provision of services. Alleysa is not responsible for any damages, injuries, losses, or costs resulting from your services, unless caused by Alleysa’s own negligence or misconduct.
Taxes and Reporting
You are responsible for complying with all local tax regulations related to your services. This includes reporting and remitting any applicable taxes, including income tax and VAT, based on the fees you receive from providing services on the Alleysa platform.
Alleysa may provide tax-related documents (e.g., invoices) for your use in tax reporting, but you are ultimately responsible for ensuring your tax obligations are met.
General Terms
Entire Agreement
These Terms, together with any other policies or guidelines incorporated by reference, constitute the entire agreement between you and Alleysa. They supersede all prior agreements, discussions, or representations regarding the use of the Alleysa platform and services. If you have previously entered into any agreements with Alleysa, these Terms will govern your continued use of the platform.Amendments and Updates
Alleysa reserves the right to modify, update, or revise these Terms at any time. If we make significant changes, we will notify you through the contact information provided by you, including by email or notifications on the Alleysa platform. Continued use of the platform after any modifications will constitute your acceptance of the revised Terms. If you do not agree with the changes, you may terminate your account in accordance with the Termination section of these Terms.Force Majeure
Alleysa will not be held liable for failure to perform any obligations under these Terms if the failure results from an event beyond our reasonable control. These events may include, but are not limited to, natural disasters, pandemics, fires, strikes, wars, acts of terrorism, government restrictions, or any other force majeure events that could affect the operation of the platform.Severability
If any part of these Terms is found to be invalid, unenforceable, or void by a court of law, the remainder of these Terms will remain in full force and effect. The invalid provision will be modified or replaced to the extent necessary to make it valid and enforceable while reflecting the original intent of these Terms.Waiver
No waiver of any breach or default of these Terms will be considered a waiver of any subsequent breach or default. If Alleysa fails to enforce any part of these Terms, it does not mean we have waived our right to do so in the future.Assignment
You may not assign or transfer your rights or obligations under these Terms to any third party without the prior written consent of Alleysa. Alleysa reserves the right to assign its rights and obligations under these Terms to any other party, including affiliates or other third-party service providers, at its discretion.Confidentiality
You agree to keep any confidential information shared through the platform confidential, including but not limited to personal data, transaction information, or proprietary business information. You may only use such information for purposes related to your use of the platform.Headings and Interpretations
The section titles in these Terms are for convenience only and have no legal or contractual effect. Any use of the word “including” in these Terms is intended to be illustrative and not exhaustive.Relationship Between Parties
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Alleysa. You are an independent contractor, and no part of these Terms shall make you an employee or agent of Alleysa.No Third-Party Beneficiaries
These Terms are for the sole benefit of you and Alleysa. They do not confer any rights or remedies upon any third-party individual or entity unless explicitly stated in these Terms.Privacy
Your use of the Alleysa platform is subject to the Alleysa Privacy Policy, which outlines how we collect, use, and protect your personal information. By using the platform, you consent to the collection and use of your data as described in the Privacy Policy.Indemnity
You agree to indemnify, defend, and hold harmless Alleysa, its affiliates, employees, agents, and officers from and against any claims, losses, liabilities, damages, or expenses, including reasonable attorneys’ fees, arising out of or in connection with your use of the platform, your failure to comply with these Terms, or your violation of any law or third-party right.Limitation of Liability
To the fullest extent permitted by law, Alleysa’s liability for any claims arising out of or in connection with these Terms or your use of the platform is limited to the amount paid by you to Alleysa in the 12 months preceding the event giving rise to the liability. In no event will Alleysa be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill.Governing Law and Jurisdiction
These Terms will be governed by and construed in accordance with the laws of the province or territory in which Alleysa operates, without regard to its conflict of laws provisions. You agree to submit to the exclusive jurisdiction of the courts in the applicable jurisdiction for the resolution of any disputes arising out of or in connection with these Terms.Complaints and Feedback

Termination, Suspension, and Other Measures
Term of Agreement
The agreement between you and Alleysa, reflected by these Terms, is effective when you access or use the Alleysa platform (e.g., by creating an account) and will remain in effect until either you or Alleysa terminates the agreement in accordance with these Terms.Termination by You
You may terminate your account and stop using the Alleysa platform at any time by sending an email to Alleysa or through the platform’s account deletion feature. Upon termination, your account will be deactivated, and you will no longer be able to access the services associated with your account. If you have any active bookings as a Guest or Host, termination of your account will result in automatic cancellation of those bookings in accordance with the cancellation policy.Termination by Alleysa
Alleysa may terminate this agreement and your access to the platform for any reason, at its sole discretion, by providing you with at least 30 days' notice via the contact information you provided during registration (e.g., email). If you breach any part of these Terms, Alleysa may terminate your account immediately without notice. Additional consequences may include removal of any content or listings you have posted, or cancellation of active bookings, and you may be required to pay any applicable fees or charges incurred.Suspension of Account
If Alleysa determines, in its sole discretion, that your behavior or actions on the platform violate these Terms, local laws, or the rights of other users, Alleysa may suspend your access to the platform temporarily or indefinitely. Suspension may occur if, for example, you fail to fulfill your obligations as a Host or Guest, repeatedly cancel bookings, or engage in fraudulent activities. During suspension, you may be unable to access your account or make bookings, and you will be prohibited from listing services until the suspension is lifted.Measures for Breach of Terms
If you breach these Terms, Alleysa reserves the right to take the following actions:Suspension or Limitation of Services: Alleysa may restrict your access to certain services or functionalities on the platform.
Removal of Content: Any content that violates these Terms, such as inappropriate Listings or offensive reviews, may be removed without prior notice.
Canceling Active Reservations: If you cancel or violate terms of any active reservations, Alleysa may remove or cancel these bookings.
Account Termination: In cases of severe or repeated violations, Alleysa may permanently suspend or terminate your account.
Legal Action: In cases of illegal activities, Alleysa may take legal action, including reporting to authorities or initiating a lawsuit.
Effect of Termination
Upon termination, you are no longer entitled to use the services provided by Alleysa. Termination will not affect:Any obligations or liabilities incurred by you prior to termination.
The continued enforcement of any terms that, by their nature, survive termination (e.g., intellectual property rights, dispute resolution, indemnification).
Any pending transactions or reservations that are subject to the cancellation and refund policies.
Reinstatement of Account
In some cases, if your account was suspended or terminated, you may appeal the decision by contacting Alleysa customer service. If your appeal is successful, your account may be reinstated, and any previous restrictions lifted.Right to Modify or Suspend the Platform
Alleysa reserves the right to modify, suspend, or discontinue the platform or any part of its services at any time, without prior notice, for maintenance, upgrades, or other reasons. In such cases, Alleysa will make reasonable efforts to notify users of the changes in advance. However, we are not responsible for any disruptions or losses resulting from platform modifications.
Governing Law and Venue

These Terms, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the jurisdiction in which Alleysa operates, specifically the laws of Province of British Columbia, Canada, without regard to its conflict of law provisions.Jurisdiction and Venue
Any dispute, claim, or legal action arising under or in connection with these Terms or the services provided by Alleysa shall be brought in the competent courts of Vancouver, British Columbia, Canada. Both parties agree to submit to the exclusive jurisdiction of the courts of this jurisdiction for the purpose of resolving any legal disputes or claims.Venue for Non-Arbitration Matters
If the dispute cannot be resolved through arbitration or other methods described in these Terms, the venue for any judicial action will be Vancouver, British Columbia, Canada, unless the parties mutually agree to a different location.Dispute Resolution for International Users
If you are not a resident of the jurisdiction described above, you agree to resolve any disputes in accordance with the governing law and venue specified above, subject to the local laws that may apply to your situation. The jurisdiction for resolving disputes related to these Terms may differ based on the country of your residence.
